Peter Healy, Chair of the Capital Markets Group for O'Melveny & Myers world wide, head of the Transactional Department for San Francisco and Silicon Valley will moderate a panel on "Going Private Transactions"

The panel will focus on "Going private" transactions, the process by which a publicly traded company is converted to private ownership by persons who are affiliated with the company. This process is often completed by a transaction initiated by a controlling stockholder or management in which all public shares are acquired and the company is delisted. The panel will also discuss the policy shifts in the post-Enron era and the increased regulatory demands mandated by the Sarbanes Oxley Act of 2002, both of which have increased the number of going private transactions. Finally, the panel will comment on the ever increasing costs associated with directors and officers insurance, record numbers of securities class action filings and increased levels of government and public scrutiny as factors which have made many public company affiliates determine that going private is in the best interest of the company and the existing stockholders.
