Recapitalizations Workshop June 21, 2006 Register now!
Event Sponsor: Wilson Sonsini Goodrich and Rosati Partial and complete recapitalizations are a growing trend in the financial community. From buying out founders and early investors to purchasing a majority of a company's shares, cashing in on equity is becoming a popular alternative to traditional liquidity vehicles like the classic M&A and IPO. This is in part because it is more equitable for the shareholders, who in most cases are seeing more attractive valuations. If you are considering a partial or complete recapitalization, please join Javier Rojas, managing director of Kennet Venture Partners, to learn more about the market opportunity for companies that have retained shares and now want to cash out. Javier will cover the basics including: challenges faced by the management team, costs associated with missed opportunities, valuations, and the process involved in transacting this type of deal. Referring to real life experiences of companies he's advised, Javier will also provide insight into what makes recapitalization a winning deal and how to determine whether it's the right path for you. Panelists: Javier Rojas, Managing Director, Kennet Venture Partners Jeffrey Pancottine, CEO, eProject WHO SHOULD ATTEND This discussion will focus on recapitalizations as an alternative to traditional liquidity vehicles. This SEMINAR/WORKSHOP will be particularly helpful for early-stage technology companies (entrepreneurs) who are considering their alternatives as their companies grow. CEOs, CFOs, and other company decision makers - particularly those with a stake in the company - will benefit most from the interactive nature of this discussion. WORKSHOP OBJECTIVES Learn about recapitalization from every angle - what makes for successful outcomes, how to weight the pros and cons of this vehicle, and measuring the risks and rewards of recapitalization. Javier will discuss his method for determining when is the right time to sell shares and how to approach a transaction with knowledge and savvy. Javier Rojas Managing Director, Silicon Valley Office Kennet Venture Partners Javier is a managing director of Kennet Venture Partners and leads its U.S. investment activities. He is currently on the boards of Aarohi Communications, NetPro Computing, MedeFinance, Kapow Technologies, and eproject. WHY YOU SHOULD ATTEND If you are a founder or majority share holder in a company who is even remotely considering recapitalization as a liquidity option, you probably have questions about how to evaluate your own scenario to determine if, when and how much to sell.
