The case of Clearcom Inc. presents issues and responsibilities faced by boards of directors when they begin to uncover overzealous actions involving the top managers of their company causing the resignation of one board member. WHAT TO EXPECT A simulation of a real-life Boardroom situation: Re-live actual Boardroom situations in high-tech companies THE CASE: Become acquainted with our high tech company de jour - a real company and Board of Directors whose names have been changed to protect the innocent (or guilty ) . THE ROLE PLAY: You’ll be an independent director on a mock board facing a real-life Board situation that unfolds over two board meetings to allow you to apply your expertise and learn from others. Both board meetings are on the same night with a break in between. On the mock board of directors you will need to balance diverse shareholder interests, fiduciary duty, strategic vision and risk mitigation. This is a great opportunity to develop more expertise in detecting and directing critical situations and managing board dynamics. THE CHALLENGE: Instead of critiquing the actions of other directors in tough situations, try your hand at managing difficult situations and test whether your outcome leads to the greatest upside for all involved. WHAT IS THERE TO GAIN? You will gain practical knowledge and experience relevant to your role as a board member. You will renew connections or expand your network of peers. THE LEARNING EXPERIENCE Each session focuses on a few aspects of board responsibilities in a way that makes the information more tangible, meaningful and useable for directors.
