For an effective Board, what happens outside of the Boardroom can be as important as what happens at meetings. This is particularly so in the case of complex issues such as M&A transactions. Often when a venture backed companies are sold there are multiple conflicting interests around the board room. Current management, founders, more recent venture investors, earlier venture investors and strategic partners, among other constituencies, can all have dramatically different interests depending upon the nature of the transaction under consideration. This forum will focus on addressing these conflicting interests in M&A exit transactions, focusing on process as well as substance and tackling issues such as the kinds of preparation that Board members should undertake, balancing the roles of management and outside directors and the use of advisors.
