Boardroom Preparation Series Addressing Conflicting Interests in M&A Exits May 24, 2007 | 8:00 – 10:00 AM | 2000 University Avenue | East Palo Alto Event Host: DLA Piper
For an effective Board, what happens outside of the Boardroom can be as important as what happens at meetings. This is particularly so in the case of complex issues such as M&A transactions. Often when a venture backed companies are sold there are multiple conflicting interests around the board room. Current management, founders, more recent venture investors, earlier venture investors and strategic partners, among other constituencies, can all have dramatically different interests depending upon the nature of the transaction under consideration. This forum will focus on addressing these conflicting interests in M&A exit transactions, focusing on process as well as substance and tackling issues such as the kinds of preparation that Board members should undertake, balancing the roles of management and outside directors and the use of advisors. Join us for an interactive discussion of best practices and how to avoid common pitfalls. Panel: Peter Astiz, Partner, DLA Piper Kip Sheeline, Managing Director, Levensohn Ventures Gene Hoffman, Founder and CEO, Vindicia, Inc. Milledge Hart, Managing Director, PageMill Partners Agenda: Doors Open: 7:30 AM Program Begins: 8:00 – 10:00 AM Continental Breakfast Included Registration: $45 VC Taskforce members, $55 Affiliates; $75 General [plus CVENT processing fee] (If space is available, door registration is an additional $10)
